Version 1.0 · Last updated October 21, 2026
These terms are the agreement between your business and Montar Digital LLC for advertising services, the Montar CRM, or both. You accept them by checking the box and clicking I agree in the Montar CRM, by signing a printed copy, or by signing electronically. Please read them. The short version comes first.
The short version
This summary is here to help you read the terms. The numbered sections below are the actual agreement.
- Your plan and price are in your Order (your proposal, order form or first invoice). These terms cover everything else.
- Month to month. Either of us can stop with 30 days' written notice. The setup fee is not refundable once work starts.
- Your ad money is yours. You pay Google and Meta directly on your own card. We never mark it up.
- Your accounts and your customer data are yours. If you leave, you keep them.
- Our systems are ours. Our playbooks, templates and the CRM software stay Montar's. You can use them while you're a client.
- No guaranteed results. We promise to do the work well, not a number of leads.
- Texting your customers is your responsibility. Only text people who gave you permission, and honor STOP right away.
- Don't hire our team away. If you do within 12 months, a placement fee applies.
- Problems get settled privately, by talking, then mediation, then arbitration, under Illinois law.
1. Who this agreement is between
1.1 This agreement is between Montar Digital LLC, an Illinois limited liability company at 1160 Dresden Dr, Hoffman Estates, IL 60192 ("Montar," "we," "us"), and the business named on your Order or CRM account ("you," "your").
1.2 The person who accepts these terms confirms that they are authorized to bind your business. If they are not, they accept personally.
2. How you accept these terms
2.1 You accept by any of these: checking the box and clicking I agree in the Montar CRM or on a Montar web page; signing this document on paper or electronically; or paying a Montar invoice that links to these terms.
2.2 Electronic acceptance is a signature. Both of us agree that clicking to accept is as binding as signing on paper, under the federal E-SIGN Act and Illinois law.
2.3 We keep a record of each acceptance: who accepted, for which business, which version, the date and time, and the device's IP address. That record is evidence of the agreement.
3. Your Order
3.1 Your Order is the proposal, order form, Statement of Work or invoice that names your plan, your services, your fees and your start date. These terms and your Order together are the whole agreement.
3.2 If your Order and these terms conflict, the Order controls, but only for that one point and only for that Order.
3.3 Anything not listed in your Order is outside the scope of the work. That includes website design, SEO, email marketing and organic social media unless your Order includes them. We'll add work by updating your Order.
4. Fees and payment
4.1 Setup fee. If your Order includes a setup fee, it is due when you sign up. Work starts once it is paid. It is not refundable once we have started work, because the audit, plan and build happen first.
4.2 Monthly fee. Monthly fees are billed in advance, starting on your start date and then on the same day each month.
4.3 Payment method. We bill through Stripe. You keep a valid card or bank account on file and authorize us to charge it for amounts due under your Order.
4.4 Late payment. If a payment is more than 5 days late, the unpaid amount accrues interest at 1.5% per month, or the highest rate Illinois law allows if that is lower. You also pay reasonable collection costs, including attorneys' fees.
4.5 Pausing for non-payment. If an amount you don't dispute is more than 10 days past due, we may pause the services, including campaigns and CRM access, after telling you and giving you a chance to pay. We are not responsible for results lost during a pause caused by non-payment.
4.6 Price changes. We'll give you at least 30 days' written notice before changing your monthly fee. You can cancel before the change takes effect.
4.7 Taxes. Fees do not include sales or similar taxes. You pay any that apply, other than taxes on our income.
5. Your advertising budget
5.1 You pay the advertising platforms (such as Google and Meta) directly, on your own payment method, in your own accounts. That money is not part of our fees.
5.2 We don't mark up, resell or take a commission on your ad spend.
5.3 You set and fund the budget in your Order. We manage campaigns toward it, but we don't control platform billing. We are not responsible for platform charges, overspend caused by a platform's systems, or a platform suspending your account.
6. Your advertising accounts
6.1 Campaigns run in your own Google, Meta and other platform accounts. We manage them through our manager accounts, using the access you give us.
6.2 You keep owner or admin access to your own accounts at all times. You'll give us the access we need and keep it in place. Delays in access delay the work.
6.3 When we stop working together, you keep your accounts, campaigns, history and conversion data. We will not delete them. We'll remove our access when you ask.
6.4 Handoff help, such as exporting data, documenting the setup or moving tracking, is provided once your balance is paid in full.
7. Term and cancellation
7.1 These terms start when you accept them and continue until all your Orders have ended. Plans are month to month unless your Order says otherwise.
7.2 Either of us can cancel a plan with 30 days' written notice. Email to info@montardigital.com counts. Service continues, and fees remain due, through the end of the notice period.
7.3 Either of us can end the agreement right away if the other seriously breaks it and doesn't fix the problem within 10 days of written notice.
7.4 When the agreement ends, you pay for all work through the end date and any fees due through the notice period. Sections 5.3, 6.3, 9.5, and 10 through 19 continue to apply afterward.
8. What you're responsible for
You will:
(a) give us accurate information about your business, plus timely access, approvals and materials;
(b) make sure everything you ask us to advertise, including prices, offers, warranties and claims, is true, lawful and not misleading;
(c) have the rights to the logos, photos, videos and text you give us;
(d) answer the leads and calls the advertising produces; and
(e) follow the advertising platforms' policies and the laws that apply to your business.
We may refuse to run anything we reasonably believe breaks a platform policy or the law. We are not responsible for results lost to leads nobody answered.
9. The Montar CRM
9.1 Your license. While your plan includes the CRM and your account is paid, you may use the Montar CRM for your own business. This license is limited, non-exclusive and non-transferable.
9.2 Your users. You decide who on your team gets a login. You're responsible for what your users do, and for keeping logins private. Tell us right away if you think a login has been misused.
9.3 What you may not do. You and your users may not:
(a) copy, reproduce or recreate the CRM or any part of its design, features, screens or workflows;
(b) reverse engineer, decompile or try to get the source code;
(c) scrape it, run automated tools against it, or try to get around its security or limits;
(d) resell it, rent it, or let anyone outside your business use it;
(e) give access to a competitor of Montar, or use the CRM to build or improve a competing product; or
(f) use it to break the law or to send spam.
9.4 Your customer data. The leads, contacts, messages, photos, quotes and invoices you put into the CRM ("Your Data") belong to you. You give us permission to store and process Your Data only to run the CRM and provide the services. We do not sell Your Data.
9.5 Getting your data when you leave. You can ask for an export of Your Data up to 30 days after your account ends. After that, we may delete it.
9.6 Security. We use reasonable security measures to protect Your Data. If we learn that Your Data has been accessed without permission, we'll notify you promptly and work with you on any notices the law requires.
9.7 Usage data. We may use anonymous, combined data about how the CRM is used to run and improve it. It will never identify you or your customers.
9.8 Payments you collect. If you use the CRM to send quotes or invoices and collect payments, those payments are processed by Stripe under Stripe's own agreements, which you accept when you connect your account. Montar is not a payment processor and does not hold your money. You are responsible for refunds, chargebacks and disputes with your customers.
9.9 Availability. We work to keep the CRM running, but we don't guarantee it will be available every minute or free of errors. We may update or change features. We'll give notice before removing a major feature you rely on.
10. Texting, calls and messaging
The CRM can send texts, place and log calls, and send review requests to your customers. When it does, your business is the sender, and these rules apply.
10.1 Consent. You will only text or call people who gave your business their number and permission to be contacted. You will get prior express written consent before sending any marketing or promotional text. You'll keep a record of each person's consent.
10.2 Opt-outs. You will honor STOP and any other reasonable request to stop, right away, and in any case within the time the law requires. The CRM is set up to handle STOP replies automatically. Don't override or work around it.
10.3 Timing and content. You will not send texts before 8 a.m. or after 9 p.m. in the recipient's time zone. Your messages will identify your business, and you won't send anything false, misleading or unlawful.
10.4 Call recording. Illinois and several other states require everyone on a call to agree before it is recorded. If you turn on call recording, you will make sure callers are told the call may be recorded before it starts.
10.5 Carrier registration. Phone carriers require businesses to register before texting. The information you give for that registration must be accurate and current.
10.6 Our rights. We may pause or limit your texting or calling if we reasonably believe it breaks these rules, carrier rules or the law, or if we receive complaints.
10.7 Responsibility. You are responsible for your messages and for having consent. You will defend and indemnify Montar against claims, fines and costs, including attorneys' fees, arising from texts or calls sent from your account that break this section or the law, including the Telephone Consumer Protection Act and state texting laws.
11. Who owns what
11.1 What's yours. You own your ad accounts, your campaign data, Your Data, the materials you give us, and the final ads and creative we make specifically for you, once they're paid for.
11.2 What's ours. Montar owns everything we bring to or build for all our clients, including before, during and after our work with you: our methods, playbooks and SOPs; campaign structures and naming systems; keyword and negative-keyword lists; ad and script templates; reporting and dashboards; the Montar CRM and its software, design and workflows; and our know-how ("Montar Materials"). Montar Materials are our confidential information.
11.3 Your use of Montar Materials. Where Montar Materials are built into your ads or campaigns, you may keep using them as part of those ads and campaigns after we part ways. Otherwise, you may use Montar Materials only while you're a client, and you may not copy them, share them or use them to train another agency or an in-house team.
11.4 Your license to us. You let us use your materials, name and logo only to provide the services.
11.5 Ideas and feedback. If you suggest improvements to our services or the CRM, we may use them without owing you anything.
11.6 Portfolio. We may say you are a client and share results with your business details removed. Tell us in writing if you'd rather we didn't.
12. Confidentiality
Each of us will keep the other's confidential information private, use it only for this agreement, and protect it with reasonable care. Confidential information includes your customer and sales data, and our Montar Materials, pricing and methods. This doesn't cover information that is public, that the other side already knew or developed on its own, or that must be disclosed by law (with notice where allowed). These duties last 2 years after the agreement ends, and for trade secrets, as long as they remain trade secrets.
13. Not hiring our team
During this agreement and for 12 months after it ends, you won't hire or engage, directly or through someone else, any Montar employee or contractor who worked on your account, without our written permission. If you do, you'll pay Montar a placement fee of $2,500, which we both agree is a fair estimate of our cost to replace that person and not a penalty. General job postings that someone happens to answer don't count.
14. No guarantee of results
Advertising results depend on many things outside our control, including your market, competition, budget, pricing, offer, website, how quickly you answer leads, the season, and how the platforms behave. We do not guarantee any number of leads, calls, sales, cost per lead, return on ad spend or revenue. We will perform the services with reasonable skill and care. Any results we show you from other clients describe what happened for them and are not a promise.
Except as these terms say, the services and the CRM are provided "as is," and we disclaim all other warranties, including merchantability and fitness for a particular purpose.
15. Limits on liability
To the fullest extent the law allows:
(a) neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and
(b) each side's total liability under this agreement is capped at the fees you paid Montar in the 3 months before the event that caused the claim.
These limits do not apply to your payment obligations, to either side's indemnity obligations, to breaches of Section 9.3 or 12, or to anything the law doesn't allow to be limited.
16. Covering each other's claims
16.1 You cover us against third-party claims arising from your products, services, offers or claims; the materials you give us; your texts and calls (Section 10); your breach of Section 8; or your violation of law or platform policy.
16.2 We cover you against third-party claims that original creative we made for you infringes someone else's intellectual property, except where the claim comes from your materials or your changes.
16.3 How it works. The side being covered gives prompt notice, lets the other side control the defense, and cooperates reasonably. Neither side will settle in a way that puts obligations on the other without its consent.
17. Settling disagreements
17.1 Talk first. If there's a dispute, the side raising it sends written notice, and we both try in good faith to resolve it within 15 days.
17.2 Mediation. If that doesn't work, we'll try non-binding mediation in Cook County, Illinois, and split the mediator's fee.
17.3 Arbitration. Anything still unresolved will be settled by binding arbitration with the American Arbitration Association under its commercial rules, before one arbitrator, in Cook County, Illinois. A court may enter judgment on the award.
17.4 Individual claims only. Disputes are handled only between your business and Montar. Neither of us will bring or join a class action or class arbitration against the other.
17.5 Exceptions. Either of us may bring a claim in small-claims court. Either of us may also go to court for an urgent order to protect confidential information, intellectual property or the CRM (including Section 9.3).
17.6 Governing law. Illinois law governs these terms, without regard to conflict-of-law rules. Subject to this section, the state and federal courts in Cook County, Illinois have exclusive jurisdiction.
18. Changes to these terms
18.1 We may update these terms. We'll give you at least 30 days' notice of a change by email or in the CRM, and the version number and date at the top will change.
18.2 For changes that materially affect your rights, we'll ask you to accept the new version in the CRM. If you don't accept, you can cancel before the change takes effect, and the earlier version applies until your plan ends.
18.3 Your fees and scope change only through your Order, never by updating these terms.
19. General terms
19.1 Independent businesses. We are independent businesses. Neither of us is the other's employee, partner or agent, and neither can bind the other. We decide how we perform the services.
19.2 Assignment. Neither of us may transfer this agreement without the other's written consent, except to a company that takes over all or substantially all of the business, with notice.
19.3 Events outside our control. Neither of us is responsible for delays caused by events outside our reasonable control, such as outages, platform changes or suspensions, natural disasters or government action.
19.4 Notices. Notices must be in writing. Send notices to Montar at info@montardigital.com. We'll send notices to the email on your Order or CRM account. An email notice is effective when sent, unless it bounces.
19.5 Severability and waiver. If any part of these terms can't be enforced, it will be limited as little as necessary and the rest still applies. Not enforcing a term once doesn't waive it.
19.6 Whole agreement. These terms and your Orders are the entire agreement between us and replace earlier discussions. If you signed an earlier Montar services agreement, these terms replace it from the date you accept, but the fees and scope already agreed for your current plan stay the same until your Order changes.
